About the role
The Legal and Compliance Counsel will advise ABInBev on all legal matters and ensure statutory and board meetings comply with the Companies and Allied Matters Act.
Key responsibilities
- Draft and review all contracts to ensure strict compliance.
- Provide legal opinions on agreements and maintain legal relationships.
- Organize board meetings in line with the company’s memorandum and Articles of Association.
- Direct the board on provisions of the Companies and Allied Matters Act during meetings.
- Prepare and distribute board meeting notices and agendas on time.
- Maintain registers of members and directors, and safeguard the company seal.
- Ensure statutory meetings such as AGM are held in compliance with the Act.
- File statutory documents with the Corporate Affairs Commission as required.
- Act as liaison between the company, external solicitors, and police on relevant issues.
Required profile
- Degree in Law (LLB) and membership in the Bar Association.
- Good knowledge of applicable laws and strong English language proficiency.
- Excellent communication skills and computer literacy.
Required skills
- Knowledge of the Companies and Allied Matters Act.
- Ability to draft and review legal contracts.
