Company Secretary – Legal & Governance Lead

About the role

Development Bank Ghana is seeking an experienced Company Secretary to lead its legal, corporate governance and compliance functions. The role supports the Board and senior management, ensuring adherence to regulatory requirements and promoting best governance practices.

Key responsibilities

• Assist the Board in complying with the company constitution and relevant laws, providing guidance on duties and powers.
• Advise directors on corporate governance requirements and inform the Board of applicable legal risks.
• Ensure statutory forms and returns are filed with the Registrar of Companies and maintain all statutory registers.
• Prepare and issue board and shareholder meeting notices, record minutes, and keep corporate records up to date.
• Support board performance evaluations and carry out duties assigned by the Board.

Required profile

• Bachelor’s degree in law (LLB) and enrollment as a Barrister‑at‑Law in Ghana.
• Minimum 10 years of legal experience, with at least 5 years in a senior legal or company secretarial role, preferably in banking.
• Professional qualification to perform Company Secretary functions; additional certifications (CGI, corporate governance) are advantageous.
• Strong knowledge of banking regulations, corporate law, and compliance frameworks.
• Proven ability to draft policies, negotiate contracts, manage litigation and mitigate risk.

Required skills

• Proficiency in Microsoft Office for legal documentation and reporting.
• Experience using IT tools for legal document management and corporate filings.
