About the role
Development Bank Ghana (DBG) is seeking an experienced Company Secretary to lead its legal, corporate governance, compliance and corporate communications functions. The role supports the Board and senior management in meeting statutory obligations and promotes best practices in governance.
Key responsibilities
- Assist the Board in complying with the company constitution and all relevant laws.
- Provide guidance on directors’ duties, responsibilities and powers.
- Advise on corporate governance requirements and inform the Board of relevant legal risks.
- Ensure timely filing of statutory forms and returns with the Registrar of Companies.
- Prepare and issue Board notices, support performance evaluations and carry out duties assigned by the Board.
- Maintain the company’s books, statutory registers and minutes of shareholders’ and directors’ meetings.
- Dispatch annual financial statements to entitled recipients.
Required profile
- Bachelor’s degree in law (LLB) from a recognized institution.
- Barrister-at-Law (BL) / Call to the Bar – enrolled to practice and in good standing.
- Proven experience in corporate governance, compliance and legal advisory within a banking or development finance environment.
