In‑House Legal Counsel – Fintech & Payments

About the role

expressPay Ghana Limited is seeking a commercially‑minded, common‑law trained lawyer to act as the legal backbone of its fast‑growing fintech group. The In‑House Legal Counsel will support executive, regulatory and commercial teams across Africa, Europe, North America and the UAE.

Key responsibilities

• Draft, review and negotiate a wide range of commercial agreements, including bank partnerships, mobile‑money schemes, remittance arrangements and technology vendor contracts.
• Maintain an organised tracker of all group agreements, renewals and key obligations.
• Prepare and manage board and shareholder resolutions, written consents and other corporate documents for multiple entities.
• Support new entity incorporations, corporate restructurings and maintain statutory registers in coordination with company secretaries.
• Assist regulatory and compliance teams with licence applications, renewals, filings and regulator engagements across jurisdictions.
• Provide pragmatic legal risk advice, support dispute resolution and manage external counsel.

Required profile

• Qualified lawyer in a common‑law jurisdiction (Ghana, UK or similar) with a current practising qualification.
• Minimum 7 years post‑qualification experience, including drafting and negotiating commercial agreements.
• Strong understanding of corporate governance and corporate secretarial matters.
• Experience managing legal work across multiple jurisdictions and coordinating external advisers.
• International outlook with proven ability to operate in evolving legal markets.
• Highly organised, able to manage a varied workload independently and communicate clearly.
