About the role
expressPay is a Ghanaian fintech and payments company, now part of a group with operations across Africa, Europe, North America and the UAE. It is looking for a commercially minded, common law-trained lawyer to act as In-House Legal Counsel and be the legal backbone of the group as it scales. The role sits close to the executive team, regulatory and compliance functions and commercial teams, and covers jurisdictions in Africa, Europe, North America and the UAE. The engagement may be a consultancy arrangement or employment, depending on the candidate's circumstances and jurisdiction; remote working is available where appropriate.
Key responsibilities
- Draft, review and negotiate commercial agreements such as bank partnership agreements, mobile money scheme agreements, remittance and payment scheme arrangements, technology and vendor contracts, and addenda, and keep a tracker of group agreements, renewals and key obligations.
- Prepare and manage board resolutions, shareholder resolutions, written consents and other corporate documents, support new entity incorporations and restructurings, and maintain corporate records and statutory registers with company secretaries and registered agents.
- Support licence applications, renewals and regulatory filings, and advise regulators on legal matters arising from licences and supervision.
- Advise the business on legal risk, support dispute resolution and escalations, contribute to internal policies and templates, and manage external advisers.
Required profile
- Qualified lawyer in a common law jurisdiction (Ghana, UK or similar) with a current practising qualification.
- Minimum 7 years of post-qualification experience.
- Demonstrable experience drafting and negotiating commercial agreements, and strong understanding of corporate governance and corporate secretarial matters.
- Experience working across borders and jurisdictions, with an international outlook and comfort with evolving legal landscapes.
- Highly organised, able to manage a varied workload independently, with excellent written and verbal communication skills.
Preferred
- Experience in fintech, payments, remittances, banking or other regulated financial services.
- Familiarity with payment regulation in one or more active jurisdictions.
- Working knowledge of civil law systems, particularly in Francophone jurisdictions.
