Company Secretary – Corporate Governance & Compliance

About the role

Development Bank Ghana is seeking an experienced Company Secretary to lead its legal, corporate governance and compliance functions. The role supports the Board and senior management, ensuring adherence to statutory requirements and promoting best governance practices.

Key responsibilities

• Assist the Board in complying with the company constitution and all relevant laws, providing guidance on duties, responsibilities and powers.
• Advise directors on corporate governance requirements and inform the Board of applicable legal risks.
• Ensure timely filing of statutory forms and returns with the Registrar of Companies.
• Prepare and issue Board notices, provide complete information for meetings, and support performance evaluations.
• Maintain the company’s books, statutory registers, minutes of meetings, and ensure annual financial statements are dispatched to entitled recipients.

Required profile

• Bachelor’s degree in law (LLB) and enrollment as a Barrister‑at‑Law (BL) in Ghana.
• Minimum 10 years of legal experience, with at least 5 years in a senior legal or company secretarial role, preferably in banking or finance.
• Professional qualifications such as CGI certification, corporate governance or compliance credentials are an advantage.
• Strong knowledge of banking regulations, corporate law, and governance frameworks.
• Proven experience in contract negotiation, litigation management, risk mitigation and regulatory compliance.

Required skills

• Proficiency with Microsoft Office for legal documentation and reporting.
• Experience using IT tools for legal documentation and reporting.
