Board Member – Legal & Governance

About the role

This part‑time, non‑executive board position offers a senior legal professional the opportunity to shape the strategic direction of a fast‑growing energy and infrastructure company operating across West Africa. The role is remote, with occasional travel for board meetings and retreats.

Key responsibilities

• Provide board‑level legal and governance oversight for the company.
• Advise on corporate strategy, capital projects, investments and cross‑border expansion.
• Offer legal insight on major energy and infrastructure transactions, including power generation, pipelines, and oil & gas projects.
• Guide the board on multi‑jurisdictional regulatory, tax, compliance and risk matters.
• Navigate political and legal environments in Francophone and Anglophone West Africa.
• Support ESG, HSE, ethics and stakeholder‑transparency initiatives.
• Serve on board committees such as Audit, Risk, Governance, or Compensation.
• Provide independent counsel to the Board Chair, CEO and executive leadership.

Required profile

• Law degree (JD, LLB or equivalent international qualification).
• 20+ years of experience in energy, infrastructure, project law, structured finance or regulatory matters.
• Senior‑level experience as General Counsel, Chief Legal Officer, law‑firm partner or comparable role.
• Prior fiduciary board or board‑committee experience.
• Demonstrated experience with major energy projects and international transactions.
• Strong understanding of international legal frameworks, preferably OHADA and other African systems.
• Experience working in or advising organisations in West Africa.
• Fluency in French and English is strongly preferred.
• Willingness to travel internationally for board meetings.
