Company Secretary – Corporate Governance Specialist

About the role
Our client, a provider of corporate secretarial and governance solutions, is seeking a Company Secretary to support a portfolio of client companies. Reporting to the Senior Company Secretary, you will ensure statutory compliance, maintain corporate records, and advise boards on governance best practices.
Key responsibilities
- Draft and update governance policies tailored to client needs.
- Advise boards and directors on fiduciary duties, responsibilities, and regulatory obligations.
- Maintain statutory registers, prepare and file returns with the Registrar of Companies.
- Coordinate board, committee and AGM meetings, ensuring accurate minutes and documentation.
- Support corporate actions such as incorporations, mergers, acquisitions, restructurings and dissolutions.
- Liaise with regulatory bodies (Registrar of Companies, SEC, GIPC, Immigration Centre) for registrations and license renewals.
- Facilitate board inductions, training and annual evaluation exercises.
- Identify new business opportunities and nurture client relationships.
- Manage administrative tasks including procurement and petty‑cash oversight.
Required profile
- Bachelor’s degree in Law, Business, LLB, LLM, MBA or a related field.
- Minimum of four years’ experience in corporate secretarial, governance or related legal functions.
- Strong understanding of the Companies Act, 2019 (Act 992) and other relevant regulations.
- Excellent communication skills and ability to work with senior directors and shareholders.
